H2Tab LLC (“H2Tab” or “the Company”) offers wholesale purchasing of H2Tab Molecular Hydrogen Tablets to approved retailers, distributors, and natural health practitioners. By entering into a wholesale agreement with H2Tab, you (“Wholesale Partner”) agree to abide by the following Terms and Conditions. These terms govern all wholesale transactions and ensure brand integrity, pricing consistency, and fair market practices.

1. Eligibility

• Wholesale accounts are exclusively available to:
• Retailers: Brick-and-mortar or authorized online stores selling directly to consumers.
• Distributors: Businesses purchasing for resale to retailers or other authorized entities.
• Natural Health Practitioners: Licensed professionals (e.g., naturopaths, chiropractors, wellness coaches) purchasing for resale to clients or use in professional settings.
• Wholesale Partners must submit a completed application, including business registration, tax ID, and proof of eligibility (e.g., professional license for practitioners). H2Tab reserves the right to approve or deny applications at its sole discretion.
• Upon approval, Wholesale Partners will receive access to an order form for placing orders and uploading purchase orders (POs).

2. Ordering and Pricing

• Minimum Order Quantity (MOQ): The minimum order is 30 boxes (30-tablet packs) of H2Tab Molecular Hydrogen Tablets. Orders below 30 boxes may be permitted on special request, subject to H2Tab’s written approval. Submit special requests to wholesale@drinkh2tab.com, and H2Tab will respond within 5 business days.
• Wholesale Pricing: Pricing is provided upon account approval and is subject to change at H2Tab’s discretion. Wholesale Partners will be notified of price changes at least 30 days in advance.
• Order Process: Orders must be placed using the H2Tab-provided order form, accessible upon account approval. Wholesale Partners may upload POs via the order form. H2Tab will confirm receipt and provide an invoice within 2 business days.
• Payment Terms:
• Full payment is required before shipping for all orders. No credit terms are offered unless explicitly agreed upon in writing by H2Tab prior to the submission of orders or POs.
• Requests for credit terms must be submitted to wholesale@drinkh2tab.com with financial documentation and are subject to H2Tab’s approval at its sole discretion.
• Approved payments may be made via credit card, ACH, or wire transfer. Payment instructions will be included with the invoice.
• Taxes and Fees: Wholesale Partners are responsible for applicable sales taxes, duties, or import fees unless a valid resale certificate is provided.

3. Sales Restrictions

No Online Sales Without Authorization:

• Wholesale Partners are prohibited from selling H2Tab products on any online platform (e.g., Amazon, eBay, Walmart Marketplace, personal websites) without prior written authorization from H2Tab.
• To request online sales authorization, submit a written proposal to wholesale@drinkh2tab.com, detailing the platform, sales strategy, and compliance plan. H2Tab will review and respond within 10 business days.
• Unauthorized online sales may result in immediate termination of the wholesale account and legal action to protect brand integrity.

Price Cap for In-Store and Business Sales:

For in-store retail or business-to-business sales (not for personal consumption), Wholesale Partners may not sell H2Tab products above the Manufacturer’s Suggested Retail Price (MSRP) of $29.95 per 30-tablet pack (or the current MSRP set by H2Tab).

The current MSRP will be communicated to Wholesale Partners upon account approval and updated as needed. Partners will be notified of MSRP changes at least 30 days in advance.

Sales for personal consumption (e.g., by natural health practitioners to clients) are exempt from this price cap but must align with fair market practices and brand guidelines.

• Territory: Wholesale Partners are authorized to sell H2Tab products only within the territory specified in their agreement. Sales outside this territory require prior written approval from H2Tab.

4. Brand and Marketing Guidelines

• Brand Representation: Wholesale Partners must represent H2Tab products accurately, using only approved marketing materials provided or authorized by H2Tab. Claims about product benefits must align with the 18 clinical studies on H2Tab and over 1,300 peer-reviewed studies on molecular hydrogen, available at drinkh2tab.com.
• Prohibited Claims: Wholesale Partners may not make unapproved health claims (e.g., curing diseases) or alter product packaging, labeling, or formulations.
• Marketing Approval: Any custom marketing materials (e.g., flyers, social media posts) must be submitted to H2Tab for approval before use. Submit materials to wholesale@drinkh2tab.com and allow 7 business days for review.
• Trademarks and Intellectual Property: H2Tab’s trademarks, logos, and intellectual property may only be used in accordance with brand guidelines provided upon account approval.

5. Shipping and Delivery

• Shipping Terms: Orders are shipped FOB (Freight on Board) from H2Tab’s U.S. facility after full payment is received. Wholesale Partners are responsible for shipping costs unless otherwise agreed in writing.
• Delivery: H2Tab aims to process and ship orders within 3–5 business days of payment confirmation. Delivery times vary based on location and carrier. H2Tab is not liable for delays caused by carriers or customs.
• Inspection: Wholesale Partners must inspect orders upon receipt and report any damages, defects, or discrepancies within 5 business days to wholesale@drinkh2tab.com. Failure to report within this period may waive claims for replacement or refund.

6. Returns and Refunds

• Defective Products: H2Tab will replace or refund defective products reported within 5 business days of receipt, provided the issue is verified by H2Tab. Return shipping costs for defective products will be covered by H2Tab.
• Non-Defective Returns: Returns of non-defective products are not accepted unless authorized in writing by H2Tab. Authorized returns may incur a 15% restocking fee and must be in original, unopened packaging.
• Expiration: H2Tab tablets have a 24-month shelf life from the date of manufacture. Wholesale Partners are responsible for managing inventory to ensure products are sold before expiration. Expired products are not eligible for return or refund.

7. Compliance and Termination

• Compliance: Wholesale Partners must comply with all applicable laws, regulations, and these Terms and Conditions. This includes obtaining necessary licenses, adhering to tax requirements, and following safe handling practices for H2Tab products.
• Termination: H2Tab may terminate a wholesale account immediately for:
• Unauthorized online sales or sales above the MSRP.
• Misrepresentation of H2Tab products or unapproved marketing claims.
• Non-payment or failure to adhere to payment-before-shipping terms.
• Breach of these Terms and Conditions.
• Any action that harms H2Tab’s brand reputation or market integrity.
• Upon termination, Wholesale Partners must cease selling H2Tab products and return any confidential materials provided by H2Tab.

8. Confidentiality

• Wholesale Partners agree to keep confidential all proprietary information provided by H2Tab, including pricing, marketing strategies, and product formulations. This obligation survives the termination of the wholesale agreement.

9. Limitation of Liability

• H2Tab is not liable for any indirect, incidental, or consequential damages arising from the use or sale of H2Tab products by Wholesale Partners. H2Tab’s liability is limited to the wholesale price paid for the products in question.

10. Governing Law and Dispute Resolution

• These Terms and Conditions are governed by the laws of the State of Florida, USA. Any disputes arising from this agreement will be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.

11. Amendments

• H2Tab reserves the right to amend these Terms and Conditions at any time. Wholesale Partners will be notified of changes via email and must acknowledge acceptance to continue their account. Continued ordering after notification constitutes acceptance of the updated terms.
